Single-User License Agreement for Online Advantage Academic Version.

By installing and using this software you accept the terms and conditions of this Agreement. Please read this software license carefully before ordering and using the software. If you do not agree to the terms of the license do not install or use the software.

Advancis.com grants you a nonexclusive license to use the software and documentation, provided that you agree to the following terms:

1. Use of software.
You may install and use the software and accompanying files/documentation on one computer at a time only. The software can only be used by you. This license does not allow you to share with anyone else your password and username or the location (Internet address) of the online application.

You may use the software for professional purposes provided the software was purchased when you were a student or faculty member.

2. Transfer
You may not rent, lease, sublicense, or lend the software or documentation. You may not produce derivative works based on the software.

3. Copyright
The software is owned by advancis.com and is protected by International Copyright Laws. You agree not to reverse engineer, decompile, dissassemble, or otherwise attempt to discover the source of the code. You may not translate, modify, or adapt the software and/or its content.

This agreement does not grant you any intellectual property rights in the software.

4. Termination of license
This License will terminate immediately without notice from advancis.com if licensee fails to comply with any provision of this License.

5. Limited Warranty
Advancis.com warrants to you that the software will perform substantially in accordance with the documentation for the ninety (90) day period following the receipt of the software. If the software does not perform substantially in accordance with the documentation, the entire and exclusive liability and remedy will be limited to either, at Advancis.com's option, the replacement of the software or the refund of the license fee you paid for the software. ADVANCIS.COM DOES NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE. 6. Limitation of Liability
IN NO EVENT WILL ADVANCIS.COM BE LIABLE TO YOU OR YOUR ORGANIZATION FOR ANY CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS. Some countries or jurisdictions may not allow the exclusion or limitation of incidental, consequential, or special damages, therefore the above limitations may not apply to you or your organization.

LICENSEE RECOGNIZES THAT THE PERFORMANCE OR RESULTS OBTAINED FROM ONLINE STRATEGIES DEPEND, IN PART, ON FACTORS BEYOND ADVANCIS.COM'S CONTROL. SUCH FACTORS INCLUDE BUT ARE NOT LIMITED TO, COMPETITORS' ACTIONS AND THEIR AMOUNT OF RESOURCES; UNFORESEEN MARKET CONDITIONS THAT MAY AFFECT POSITIVELY OR NEGATIVELY LICENSEE'S PERFORMANCE OR RESULTS; ENTRY OF NEW COMPETITORS IN INDUSTRY OF LICENSEE; AND LICENSEE'S ORGANIZATIONAL STRENGTHS AND WEAKNESSES. HENCE, LICENSEE UNDERSTANDS THAT THE USE OF SOFTWARE CAN TRANSLATE IN VARYING LEVELS OF PERFORMANCE.

7. Complete Agreement.
This license constitutes the entire agreement between the parties with respect to the use of the software and related documentation, and supersedes all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. No amendment to or modification of this license will be binding unless in writing and signed duly by an authorized representative of Advancis.com. You hereby consent to the jurisdiction of and venue in courts located in Nice, France ("Les Tribunaux de Nice") in all disputes arising out of or relating to this Agreement or your use of the Services. In addition, you hereby consent to the exclusive jurisdiction of, and venue in, such courts for any action commenced by you against advancis.
